Director of Mergers and Acquisitions

SUMMARY

This position is with a northeast based, private equity backed, residential and commercial field services platform. The Dir of M&A/Corporate Development will be responsible for directing key aspects of the Company’s acquisition efforts, including creating acquisition and development strategies and criteria, creating a replicable internal process around M&A, building relationships with sellers and intermediaries, conducting financial analyses, negotiating transaction documents, and leading due diligence efforts. The Director President of M&A will be a key strategic partner to the executive team.

Geography – This company is NY based. The ideal candidate will be in the northeast but can be permanent remote.

PRIMARY RESPONSIBILITIES

Support the corporate team with a focus on:

  1. Develop a methodical, objective, and consistent approach to assess potential acquisitions and business combinations.
  2. Analyze target markets and collaborate with business unit leaders and functional specialists for development or updates.
  3. Proactively identify and engage acquisition targets, establish relationships with brokers, and construct a deal pipeline aligned with the Company’s strategic objectives.
  4. Articulate and advocate the company’s narrative in the marketplace, establishing rapport and credibility with business owners.
  5. Develop a business case and/or valuation model for each potential transaction.
  6. Identify and quantify synergy opportunities with potential acquisitions; formulate action plans to drive synergies post-close.
  7. Lead merger and acquisition transactions through cross-functional due diligence, gathering and utilizing integration planning inputs to support successful integration.
  8. Gather crucial information on risks and opportunities for impending and ongoing M&A activities, translating this information into fact-based insights on the valuation and structural impact of the merger or acquisition.
  9. Regularly engage with third-party advisors (legal, financial, tax, consultants).
  10. Structure and negotiate deals, collaborating with the senior leadership team to secure Board approval.
  11. Participate in post-acquisition integration initiatives.

Operate as a strategic partner to the executive team by:

  1. Identifying positive and negative trends in the business, addressing challenges collaboratively.
  2. Conducting economic and industry analyses to recommend response strategies to trends impacting the business.
  3. Collaborating effectively with financial, sales/operational personnel, PE sponsor, and third parties.

REQUIRED EDUCATION & SPECIFIC COMPETENCIES:

  • Minimum 6-10 years of results-oriented work experience in a similar role, including corporate development, strategy, investment banking, or private equity.
  • Experience and ability to model and synthesize complex financial analysis, operational, and KPI data into concise presentations and decision frameworks regularly.
  • Experience leading mergers and acquisitions review and execution, analyzing business proposals, leading due diligence processes, and structuring transactions. Experience in small to mid-cap deals with founder-owned and led businesses is highly preferred.
  • Experience in corporate development, strategy, or business development function.
  • Strong analytical skills, with extreme attention to detail, accuracy, and accountability balanced with sound business judgment.
  • Proven experience in financial modeling and valuation and presenting to an investment committee.
  • Strong Board presentation skills, including the development of PowerPoint presentations.
  • Excellent professional written/verbal communication and interpersonal skills.
